1.  Introduction

This Acceptable Use Policy ("AUP") is a legally binding agreement between SalesAIO, Inc. ("SalesAIO," "we," "us," or "our") and you — whether an individual user, employee, contractor, or the business entity on whose behalf you access the platform ("Customer," "you," or "your").

SalesAIO provides an AI-powered sales automation platform designed to help startups, agencies, and growing sales teams capture leads, automate outreach, and close deals faster (the "Platform"). This AUP governs all permitted and prohibited uses of the Platform, including its AI features, automation tools, data integrations, email infrastructure, CRM connectors, and any associated websites, APIs, or mobile applications (collectively, the "Services").

This AUP is incorporated by reference into, and forms an integral part of, your Master Subscription Agreement, Terms of Service, or other governing agreement with SalesAIO (the "Agreement"). In the event of a conflict between this AUP and the Agreement, the Agreement shall control unless this AUP expressly states otherwise.

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by this AUP. If you do not agree, you must immediately cease use of the Services.

2.  Definitions

"AI Features" means any generative artificial intelligence, machine learning, predictive, or automation functionality made available through the Platform, including but not limited to AI-generated email copy, lead scoring, conversation intelligence, and sequence recommendations.

"Content" means any data, text, files, images, audio, video, prompts, instructions, contact information, scripts, code, or other materials that you upload, submit, transmit, generate, or distribute through or in connection with the Services.

"Contact Data" means any personal information relating to a prospect, lead, or other individual that you import, enter, or generate via the Services, including names, email addresses, phone numbers, job titles, and behavioral data.

"Outreach" means any email, SMS, voicemail, social message, or other communication initiated or automated through the Platform.

"Sequence" means any multi-step, time-based automated Outreach workflow configured within the Platform.

"User" means any individual granted access credentials to your SalesAIO account, including administrators, sales representatives, and third-party contractors.

3.  Permitted Use

Subject to the terms of the Agreement and this AUP, you may use the Services solely for:

•        Lawful B2B (business-to-business) sales prospecting, lead generation, and pipeline management;

•        Automating legitimate sales Outreach to prospects who have not opted out of receiving such communications;

•        Integrating permitted third-party CRM, communication, and data enrichment tools as enabled by SalesAIO;

•        Using AI Features to draft, optimize, and personalize sales content within lawful parameters;

•        Analyzing engagement metrics to improve your sales processes; and

•        Any other use expressly authorized in writing by SalesAIO.

4.  Prohibited Uses

You shall not, and shall not permit, encourage, or cause any User or third party to, use the Services in any of the following ways:

4.1  Unlawful Outreach and Spam

•        Send Outreach to individuals or entities that have opted out, unsubscribed, or otherwise requested not to be contacted;

•        Use purchased, rented, scraped, or harvested contact lists in violation of applicable law or the terms of a list provider;

•        Send unsolicited commercial communications (spam) in violation of the CAN-SPAM Act (US), CASL (Canada), GDPR (EU/UK), or any other applicable anti-spam or electronic marketing law;

•        Conduct Outreach to individuals whose personal data was collected unlawfully or without a valid legal basis;

•        Disguise, misrepresent, or omit legally required sender identification, physical address, or opt-out mechanisms in any Outreach;

•        Circumvent or manipulate email delivery infrastructure (e.g., spoofing headers, rotating domains to evade spam filters) to avoid detection or to inflate deliverability metrics; or

•        Send Outreach at volumes, speeds, or frequencies that constitute network abuse or violate the policies of receiving mail servers.

4.2  Misuse of AI Features

•        Use AI Features to generate Content that is false, misleading, fraudulent, deceptive, or likely to deceive a reasonable recipient about the nature, origin, or purpose of a communication;

•        Use AI Features to impersonate any person, business, brand, or organization without authorization;

•        Generate AI Content designed to psychologically manipulate, coerce, or exploit recipients, including through dark-pattern persuasion techniques;

•        Use AI Features to create malware, phishing content, social engineering scripts, or any Content intended to defraud or harm recipients;

•        Attempt to extract, reconstruct, reverse-engineer, or circumvent SalesAIO's AI models, prompts, or training data through adversarial prompting or any other technique; or

•        Submit prompts that are designed to cause the AI to produce prohibited Content as defined in Section 4.5 below.

4.3  Data and Privacy Violations

•        Import, process, or use Contact Data for which you do not have a valid legal basis under applicable data protection law (e.g., GDPR, CCPA/CPRA, UK GDPR, PDPA, or equivalent);

•        Process sensitive personal data — including health or medical information, financial account credentials, government-issued identification numbers, biometric data, racial or ethnic origin, or data relating to minors — through the Platform without SalesAIO's prior written consent and without meeting all applicable heightened legal requirements;

•        Use the Services to conduct surveillance, build behavioral profiles for non-sales purposes, or engage in any activity that violates the privacy rights of individuals;

•        Share, sell, or transfer Contact Data obtained through the Platform to unauthorized third parties; or

•        Use the Services to violate any applicable data localization, cross-border transfer, or data residency requirement.

4.4  Platform Security and Integrity

•        Probe, scan, or test the vulnerability of the Platform or any underlying infrastructure without SalesAIO's prior written authorization;

•        Attempt to gain unauthorized access to any part of the Platform, another Customer's account, or any SalesAIO system or network;

•        Bypass, disable, or circumvent any authentication, access control, rate limit, encryption, or security mechanism of the Platform;

•        Introduce or transmit through the Platform any virus, worm, Trojan horse, ransomware, spyware, adware, keylogger, rootkit, or other malicious code or component;

•        Impose a disproportionate or unreasonable load on the Platform's infrastructure, including through automated bots, scripts, or tools that replicate human interactions at machine speed;

•        Use scraping, spidering, crawling, or similar automated extraction techniques on any part of the Platform or its data outputs, except via SalesAIO's authorized API with appropriate rate limits; or

•        Attempt to access, copy, modify, reverse engineer, decompile, or disassemble any portion of the Platform's source code, algorithms, or proprietary technology.

4.5  Harmful, Illegal, and Prohibited Content

You shall not upload, generate, transmit, or distribute any Content that:

•        Is illegal under applicable local, national, or international law;

•        Constitutes, facilitates, or encourages fraud, identity theft, money laundering, or financial crime;

•        Exploits, abuses, sexualizes, or harms minors in any way, including child sexual abuse material (CSAM) — which will be reported to relevant law enforcement authorities without notice;

•        Incites, promotes, or facilitates violence, terrorism, or extremism;

•        Is defamatory, libellous, obscene, harassing, threatening, or constitutes hate speech targeting individuals or groups based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, age, or any other protected characteristic;

•        Infringes any third-party intellectual property right, including copyright, trademark, patent, or trade secret, or misappropriates any confidential information;

•        Violates any individual's rights of privacy, publicity, or personality; or

•        Is pornographic or sexually explicit, unless you operate within an expressly licensed adult-content vertical and SalesAIO has granted explicit written authorization.

4.6  Competitive and Restricted Activities

•        Use the Services to build a competing product or service, to benchmark the Platform for public competitive analysis without SalesAIO's consent, or to resell the Platform's functionality as a white-label product without an authorized reseller agreement;

•        Access or use the Services on behalf of a SalesAIO competitor for competitive intelligence purposes; or

•        Commercially sublicense, resell, or transfer access to the Services except as expressly permitted in a written reseller, white-label, or partner agreement with SalesAIO.

4.7  Regulatory and Sector-Specific Restrictions

If you operate in a regulated industry (including financial services, healthcare, insurance, legal, or government sectors), you are solely responsible for ensuring your use of the Platform complies with all sector-specific laws and regulations, including but not limited to:

•        HIPAA / HITECH (US healthcare);

•        FINRA, SEC, and FCA rules on electronic communications (financial services);

•        Telephone Consumer Protection Act (TCPA) and equivalent calling/messaging laws; and

•        Any applicable export control, sanctions, or anti-bribery laws (including OFAC, BIS EAR, EU sanctions, and the UK FCPA).

⚠  SalesAIO does not execute a HIPAA Business Associate Agreement (BAA) by default. If you are a HIPAA-covered entity or business associate, you must obtain a signed BAA from SalesAIO before processing any Protected Health Information through the Platform.

5.  Contact Data Obligations

You are the data controller (or equivalent) for all Contact Data you process through the Platform. You represent, warrant, and covenant that:

•        You have collected all Contact Data lawfully and have a valid legal basis for processing and sending Outreach to each contact;

•        You will honor opt-out and unsubscribe requests promptly and in no event later than the timeframe required by applicable law (e.g., ten (10) business days under CAN-SPAM);

•        You will maintain accurate, up-to-date suppression lists and sync them with the Platform;

•        You will not import Contact Data that includes sensitive personal data as defined in Section 4.3 without SalesAIO's prior written consent; and

•        You will respond promptly to any data subject rights requests (access, deletion, correction, portability, objection) relating to Contact Data in your SalesAIO account, and will cooperate with SalesAIO as reasonably required to fulfil such requests.

6.  Email and Outreach Infrastructure

To protect the deliverability and reputation of all SalesAIO customers, you agree to:

•        Authenticate all sending domains with valid SPF, DKIM, and DMARC records as required by SalesAIO's technical documentation;

•        Maintain bounce rates, spam complaint rates, and unsubscribe rates within SalesAIO's published deliverability thresholds;

•        Not use SalesAIO's sending infrastructure for mass broadcast email campaigns; the Platform is designed for targeted, personalized sales sequences — not bulk email marketing;

•        Not rotate domains, create throwaway domains, or use domain warming techniques in violation of SalesAIO's deliverability policies; and

•        Comply with all mailbox provider policies, including Google Workspace Sender Guidelines and Microsoft Outlook policies, as updated from time to time.

SalesAIO reserves the right to throttle, pause, or suspend Outreach from your account if your sending activity risks harm to the shared sending infrastructure or to other Customers' deliverability.

7.  AI-Generated Content: Your Responsibility

You acknowledge that:

•        AI Features may produce Content that is inaccurate, incomplete, or inappropriate. SalesAIO does not warrant the accuracy, suitability, or legality of AI-generated Content;

•        You are solely responsible for reviewing, approving, and ensuring the accuracy and legal compliance of all AI-generated Content before it is sent to any recipient;

•        AI-generated Content does not constitute legal, financial, medical, or professional advice, and must not be represented as such;

•        You must disclose the use of AI in communications where required by applicable law or regulation; and

•        Using AI Features to generate prohibited Content (as defined in Section 4.5) is a material breach of this AUP, regardless of the prompt or instruction used.

8.  Monitoring and Enforcement

8.1  Our Right to Monitor

SalesAIO may, but is not obligated to, monitor, review, and analyze Content, Outreach, and usage patterns on the Platform for compliance with this AUP, the Agreement, and applicable law. Such monitoring may be carried out through automated systems, manual review, or third-party tools, with or without prior notice to you.

8.2  Enforcement Actions

If SalesAIO reasonably suspects or determines that you are in violation of this AUP, we may, at our sole discretion and without liability to you, take any or all of the following actions:

•        Warn you of the violation in writing;

•        Throttle, suspend, or restrict Outreach or specific Platform features;

•        Remove, quarantine, or block violating Content;

•        Temporarily or permanently suspend your account and all associated User accounts;

•        Terminate the Agreement with immediate effect in accordance with its terms;

•        Retain and disclose Content or account data to law enforcement, regulatory authorities, or other third parties where required or permitted by law; and/or

•        Pursue any other legal or equitable remedy available to SalesAIO.

8.3  No Obligation to Pre-Screen

SalesAIO has no obligation to pre-screen, monitor, or filter your Content before it is transmitted through the Platform. You are solely responsible for ensuring your Content and use of the Platform comply with this AUP.

9.  Reporting Violations

If you become aware of any violation of this AUP — including by another user or a third party — please report it promptly to:

We may request additional information to investigate the report. SalesAIO will treat reports in accordance with its Privacy Policy and applicable law.

10.  Your Representations and Warranties

By using the Services, you represent and warrant that:

•        You have full legal authority to enter into this AUP and the Agreement, and to bind the entity on whose behalf you are acting;

•        Your use of the Services will at all times comply with this AUP, the Agreement, and all applicable laws and regulations;

•        All Contact Data you process through the Platform has been collected lawfully and you hold all necessary rights and consents to use it as contemplated herein;

•        You will not use the Services in any jurisdiction where doing so would be prohibited by law; and

•        You will promptly notify SalesAIO at hrmanager@ptoshhotels.com if you become aware of any breach of this AUP or of any unauthorized use of your account.

11.  Indemnification

You shall indemnify, defend, and hold harmless SalesAIO and its officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

•        Your breach of this AUP or the Agreement;

•        Your violation of any applicable law or regulation, including anti-spam, data protection, or electronic marketing laws;

•        Any Content you upload, generate, or transmit through the Platform;

•        Any Outreach you initiate or authorize through the Platform; or

•        Any claim by a third party arising from your use or misuse of the Services.

12.  Intellectual Property

You acknowledge that SalesAIO owns all intellectual property rights in and to the Platform, including its AI models, algorithms, user interface, and underlying technology. Nothing in this AUP or the Agreement transfers any such rights to you. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely as permitted by the Agreement.

You retain ownership of your Content and Contact Data. By submitting Content to the Platform, you grant SalesAIO a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your Content solely as necessary to provide the Services, improve the Platform (in anonymized and aggregated form only), and comply with legal obligations.

SalesAIO respects intellectual property rights and will respond to valid notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA) and applicable law. To submit a notice, contact hrmanager@ptoshhotels.com.

13.  Changes to This AUP

SalesAIO reserves the right to modify this AUP at any time. If we make material changes, we will provide notice by:

•        Displaying a prominent in-Platform notification; and/or

•        Sending an email to the primary account administrator address on file.

Changes take effect upon the date specified in the notice or, if no date is specified, upon the date the notice is published. Your continued use of the Services after the effective date of any change constitutes your acceptance of the revised AUP. If you do not agree to the revised AUP, you must cease use of the Services and may terminate the Agreement in accordance with its terms.

14.  General Provisions

Severability. If any provision of this AUP is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No Waiver. SalesAIO's failure to enforce any provision of this AUP on any occasion shall not constitute a waiver of that provision or of SalesAIO's right to enforce it in the future.

Entire Agreement. This AUP, together with the Agreement, constitutes the entire agreement between the parties with respect to acceptable use of the Services and supersedes all prior representations, discussions, and agreements on this subject.

Governing Law and Jurisdiction. This AUP is governed by the laws specified in the Agreement. To the extent not specified therein, this AUP shall be governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles.

Survival. Sections 7, 10, 11, 12, and 14 of this AUP shall survive termination or expiration of the Agreement.
